Services
Provision of Services
Drie Marketing agrees to provide the services as described in our proposals, contracts, and on our website. All services will be performed in a professional manner in accordance with industry standards.
Client Responsibilities
Clients agree to provide all necessary information, materials, and access required for Drie Marketing to perform the services. Clients are responsible for ensuring the accuracy and legality of any content provided to Drie Marketing.
Contract Terms
Start and Duration of the Contract
Contracts typically start on the agreed commencement date and continue for the period specified. Contracts may be renewed by written agreement of both parties.
Termination
Contracts may be terminated by either party with appropriate notice as specified in the contract. In case of termination, any services already provided will be invoiced.
Obligations of the Agent
Independence
The Agent operates independently and is not an employee of the Client. The Agent will perform its obligations in an expert, faithful, and diligent manner, always acting in the Client's best interest.
Conflict of Interest
The Agent will avoid any situation that could place it in a conflict of interest with the Client.
Substitution
The Agent may be assisted by aides or may subcontract parts of the service to third parties who will perform tasks independently and under their sole responsibility.
Obligations of the Client
The Client must clearly define the objectives and provide all necessary information and resources for the Agent to fulfill its mission.
Remuneration
The Client agrees to pay the fees specified in the contract. Payment terms and amounts will be outlined in the specific contract agreement. Late payments may incur additional charges.
Reimbursement of Expenses
The Agent will be reimbursed for reasonable and necessary expenses incurred in fulfilling the contract, as agreed upon by both parties.
Confidentiality
Both parties agree to maintain strict confidentiality regarding any confidential information exchanged during the course of the contract. This obligation will persist following the termination of the contract.
Intellectual Property
All intellectual property rights related to the services performed by the Agent remain with the Agent. The Client is granted a usage right as specified in the contract.
Limitation of Liability
Drie Marketing shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with the use of our services or website. Our total liability for any claim shall not exceed the amount paid by the client to Drie Marketing in the twelve months preceding the claim.
Indemnification
Clients agree to indemnify, defend, and hold harmless Drie Marketing from any claims, damages, liabilities, and expenses arising out of or related to the client's use of our services or breach of these Terms and Conditions.
Changes to Terms
Drie Marketing reserves the right to update or modify these Terms and Conditions at any time. Clients are encouraged to review these terms periodically. Continued use of our services constitutes acceptance of any changes.
Governing Law
These Terms and Conditions are governed by and construed in accordance with the laws of the jurisdiction where Drie Marketing is headquartered.
